The Opportunity:
Our Junior Corporate Lawyer plays an essential role in providing legal support and counsel to the various corporations and organizations including but not exclusive, TLFC, TLC VR, YESS Global, GIFTE and their business operations. They work under the supervision of senior lawyers or executives and are responsible for various tasks related to corporate legal matters. The Junior Corporate Lawyer assists in ensuring the company’s compliance with laws and regulations, drafting legal documents, and providing advice on corporate transactions.
Responsibilities:
- Legal Research:
- Conduct legal research on various corporate and business-related matters.
- Stay updated on changes in laws, regulations, and precedents that impact the company.
- Contract Drafting and Review:
- Draft and review contracts, agreements, and legal documents.
- Ensure that contracts are legally sound and align with the company’s interests.
- Compliance and Regulatory Matters:
- Assist in ensuring the company’s compliance with applicable laws and regulations.
- Help develop and implement compliance programs and policies.
- Corporate Transactions:
- Support senior lawyers and executives in mergers, acquisitions, and other corporate transactions.
- Assist in due diligence, document preparation, and transaction coordination.
- Corporate Governance:
- Assist in preparing for board meetings and drafting resolutions.
- Maintain corporate records and ensure compliance with corporate governance requirements.
- Intellectual Property:
- Assist in protecting the company’s intellectual property through trademark and patent applications.
- Handle copyright and intellectual property-related matters.
- Risk Assessment:
- Identify potential legal risks and provide recommendations to mitigate them.
- Work with cross-functional teams to develop risk management strategies.
- Client Communication:
- Communicate with internal stakeholders and external parties on legal matters.
- Provide legal advice and explanations in a clear and concise manner.
- Administrative Tasks:
- Maintain and organize legal documentation and records.
- Handle administrative tasks related to legal matters.
- Other duties to be assigned.
Qualifications:
- Strong understanding of corporate and commercial law.
- Excellent research, writing, and communication skills.
- Attention to detail and ability to analyze complex legal issues.
- Proficiency in legal research tools and software.
- Ability to work collaboratively in cross-functional teams.
- Time management skills and ability to handle multiple tasks concurrently.
- Strong ethics and commitment to maintaining confidentiality.
- Requires international traveling.
